The agreement
These terms are an agreement between you and Hosam Hassan LLC, a Wyoming limited liability company, at 30 N Gould St. #48472, Sheridan, WY 82801, USA (“Artica,” “we,” “us”). They cover artica.tools, every tool on it, the Artica Chrome extension and any service we provide through them (together, the “Service”). By creating an account or using the Service, you accept these terms, our Acceptable Use Policy and our Data Processing Addendum, and you acknowledge our Privacy Policy.
If you use Artica for an organisation, “you” means that organisation, and you confirm you have the authority to accept these terms for it. If you don’t have that authority, or don’t agree, don’t use the Service.
Who may use Artica
- Artica is for business and professional use: people building and running help centers and support teams. It is not a consumer product.
- You must be at least 16 years old.
- You may not use Artica if you are barred from doing so under the laws that apply to you, including the sanctions rules in Export controls and sanctions.
Accounts and workspaces
- You need an account for most tools. Give accurate details and keep them current; we email you at the address on your account.
- Keep your sign-in secure. You are responsible for what happens under your account. Tell us at hello@artica.tools straight away if you think someone else has used it.
- Each account has a workspace, which holds everything you do in Artica. Today a workspace has one user. Don’t share an account between people.
- Accounts are one per person. Don’t create accounts to get around allowances, a suspension or these terms.
The services
Artica is a collection of tools for help centers. Today these are available:
- Ticket exporter: exports your Zendesk tickets to a file on your computer, with personal data removed or kept as you choose.
- Article exporter: exports a help center’s articles and images to a zip on your computer, from a public link or a connection (Zendesk, Intercom, Freshdesk or Help Scout).
- Topic finder: analyses tickets you upload or read from Zendesk and reports what customers contact you about.
- Article generator and its Chrome extension: turns a recorded workflow into a help center article you can edit and export to Zendesk.
- Format fixer: checks an article’s formatting and, with AI, reshapes it into a template.
- Pre-built themes: Zendesk help center themes you can preview and install.
- Custom themes: a done-for-you theme design service you can request.
Tools marked “coming soon” (currently Help center audit, Help center planner, Article importer, Artica and Artica for Notion) are not available and are not part of the Service until we release them. Anything we label beta, preview or similar is provided as is, may change or stop, and may be less reliable.
We keep improving Artica, so features change. We may add, change or remove features or tools. If we remove a tool you rely on, we will give reasonable notice where we can, and you can export what Artica stores for you before it goes.
Free allowances and fair use
- Every tool is free today, within the monthly allowances shown on each tool’s page. Allowances reset on the 1st of each month (UTC). Unused allowance doesn’t carry over.
- We may change allowances, including lowering them, with notice on the tool’s page. Allowances we grant you by hand apply to the month stated.
- Free tools are offered as a convenience. We may pause AI features for free use when our overall monthly AI budget is reached, and limit or rate-limit use that is excessive, automated or harms the Service for others.
Paid features
Artica does not take payments today. If we introduce paid features (for example credits for use beyond the free allowances), they will be governed by these terms plus the price and purchase terms shown to you at the time of purchase, which you will have to accept before paying. Payments would be handled by our payment provider; we would never see your full card details. Nothing in these terms obliges you to pay for anything you haven’t expressly bought.
Your content
“Your content” is everything you or your systems bring to Artica: tickets, articles, documents, help center content, captures and screenshots, theme requests, and what the tools produce from them for you (exports, topics, drafted and fixed articles).
- You own your content. These terms don’t give us any ownership of it.
- Our licence: you give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, transform and display your content only as needed to provide the Service to you, to keep it secure, and as the law requires. That includes sending it to the providers on our subprocessors page for those purposes. The licence ends when your content is deleted, apart from copies in backups and logs that expire on their own schedule.
- We don’t use your content to train AI models, and we don’t sell it.
- What Artica stores, and for how long, is set out in our Privacy Policy. Some tools store nothing; others (such as Article generator) keep content until you ask us to delete it.
Your promises about your content
For all content you upload, connect or record, you promise that:
- you have the rights, permissions and authority to use it with Artica, including any authority from your employer or the owner of the help desk, help center or account you connect;
- you have a lawful basis under data protection law to process any personal data in it with Artica (for example your customers’ names in tickets), and you have given the people concerned any notices and obtained any consents the law requires, including about your use of service providers like Artica;
- using it with Artica doesn’t breach any law, contract (such as a confidentiality obligation or a platform’s terms) or anyone’s rights;
- you won’t bring special categories of personal data (such as health data), children’s data, or payment card data into Artica beyond what incidentally appears in ordinary support content, and where it appears you will use the scrubbing options the tool offers;
- you are responsible for what you record with the Chrome extension: redaction covers patterns such as emails and card numbers, but names and other text on screen are not blurred, so don’t record screens you aren’t allowed to share with Artica.
You are responsible for your own notices to your customers and for answering their requests about their data; we will help as set out in the DPA.
Third-party platforms
Artica connects to platforms that other companies run: Zendesk, Intercom, Freshdesk, Help Scout and Google Chrome today, and Notion when Artica for Notion is released. Your use of those platforms is governed by your agreements with them, not by us.
- When you connect a platform, you authorise Artica to access it with the permissions you grant, and to act there only when you ask (for example creating a draft article or replacing one when you click Save or Replace).
- You are responsible for complying with each platform’s terms, including any limits on exporting data or using its API.
- We don’t control those platforms. We aren’t responsible for their availability, changes to their APIs, or what they do with data. If a platform changes or withdraws access, the related tool may stop working.
- Artica is not affiliated with or endorsed by Zendesk, Intercom, Freshdesk, Help Scout, Notion or Google, unless they say so.
The Chrome extension
- We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Artica Chrome extension with your Artica account, for as long as you may use the Service.
- The extension records only when you start a recording, and only what our Privacy Policy describes.
- Your use is also subject to the Chrome Web Store’s terms. Updates are delivered through the Chrome Web Store.
- Don’t modify, reverse engineer or redistribute the extension, except as the law allows despite this restriction.
AI output
Some tools use AI (see AI use). AI output can be wrong, incomplete or inconsistent, even when it looks confident. So:
- Review every AI-drafted or AI-fixed article, every topic and every summary before you rely on it, publish it or share it. Format fixer’s fidelity check and Topic finder’s counts help, but they don’t guarantee accuracy.
- Output is provided for you to evaluate; you are responsible for what you publish and decide based on it.
- As between you and us, you own the output Artica generates for you from your content, to the extent the law allows. Similar output may be generated for others.
- Personal-data scrubbing is done as thoroughly as possible, but no scrubber is perfect. We don’t guarantee that every item of personal data is found.
Exports and raw ticket files
- Files the exporters create are built in your browser, and Artica keeps no copy. Once a file is on your computer, keeping it secure, sharing it and deleting it are your responsibility.
- A Ticket exporter export with “Keep everything as it is” contains your customers’ personal data, unchanged. You are the controller of that file and responsible for handling it lawfully.
- Keep the tab open until an export finishes. An interrupted export may be incomplete.
Exporting from a link
Article exporter can read a public help center from a link. Use it only for help centers you own, administer or are otherwise allowed to copy, and respect the site’s terms and copyright. Artica follows the site’s robots.txt and reads one page at a time, but you are responsible for having the right to export and use the content. Don’t use it to copy a competitor’s or anyone else’s help center for republication.
Custom themes
Custom themes are a design service, separate from the self-serve tools.
- Requests and quotes: a request is not an order. We reply by email, and if we can take the work on, we send a written quote with the scope, price, timeline and payment terms. Work starts only when you accept the quote in writing.
- Delivery: we deliver the theme as described in the quote, with the rounds of changes it includes. Timelines are estimates and depend on you providing content, access and feedback on time.
- Ownership: once you have paid in full, you own the theme files we create for you, except for our pre-existing code, components and know-how, and any third-party components (such as open-source code and fonts, under their own licences). We give you a perpetual, non-exclusive licence to use those parts as part of your theme. We may show the finished theme in our portfolio unless you ask us not to.
- The quote you accept takes precedence over this section where they differ.
Our property and feedback
- Artica, its software, design, templates, themes, documentation and brand belong to us or our licensors. These terms give you only the rights to use the Service they describe.
- Pre-built themes are licensed to you for use on your own help centers under the licence shown with each theme or in the Zendesk Marketplace. Don’t resell or redistribute them as themes.
- Don’t copy, modify, reverse engineer or resell the Service, or use it to build a competing product, except as the law allows despite this restriction.
- If you send us ideas or feedback, we may use them without obligation to you.
Confidentiality
We treat your content and any non-public information you share with us as confidential. We use it only to provide the Service, disclose it only to our providers and advisers who need it and are bound to protect it, and protect it with reasonable care. This doesn’t cover information that is public through no fault of ours, that we already had or developed independently, or that we must disclose by law (where allowed, we will tell you first). Treat any non-public information about Artica we share with you the same way.
Privacy and the DPA
Our Privacy Policy explains how we handle personal data as a controller. Where we process personal data in your content on your behalf, our Data Processing Addendum applies and forms part of these terms. If they conflict on how we process that data, the DPA wins.
Acceptable use
You must follow our Acceptable Use Policy, which forms part of these terms. In short: no unlawful use, no accessing data you aren’t allowed to, no attacking or overloading the Service, and no getting around its limits.
Suspension and termination
By you
You can stop using Artica at any time, and ask us to delete your account by emailing hello@artica.tools. You can disconnect Zendesk yourself at any time.
By us
- We may suspend or limit your access straight away if your use breaches these terms or the Acceptable Use Policy, creates a security or legal risk, or harms the Service or others. Where reasonable, we will tell you why and give you a chance to fix it.
- We may end these terms or close your account for a material breach, or for any reason with 30 days’ notice by email.
- We may discontinue the Service as a whole with at least 30 days’ notice, so you can export what Artica stores for you.
Sections that by their nature should survive (your content, disclaimers, limitation of liability, indemnity, governing law and general terms) survive termination.
Your data when it ends
- Before your account closes, you can download your articles and export them to Zendesk, and save your Topic finder results. Ask us at hello@artica.tools if you need help getting a copy.
- When your account is deleted, at your request or ours, we delete your workspace and everything in it, your stored files and your sign-in account within 30 days, as described in the Privacy Policy. Backups and providers’ logs expire on their own short schedules.
- If we close your account for breach, we may keep what we need to establish, exercise or defend legal claims.
Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We don’t promise that the Service will be uninterrupted, error-free or secure, that AI output or scrubbing will be accurate or complete, or that the Service will work with any third-party platform. Artica is run by a small team; there is no service-level commitment unless we agree one in writing.
Limitation of liability
To the fullest extent the law allows:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if told they were possible.
- Each party’s total liability arising out of or relating to these terms or the Service is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.
- These limits don’t apply to your obligations to pay, your indemnity obligations, a party’s fraud, gross negligence or wilful misconduct, or anything else the law doesn’t allow to be limited.
These limits are part of the basis of the bargain: Artica is offered free or at low cost because of them.
Indemnity
- By you. You will defend and indemnify Artica against third-party claims, and the resulting losses, costs and reasonable legal fees, arising from your content, your breach of the promises in Your promises about your content, your use of exported files, or your use of the Service in breach of these terms, the Acceptable Use Policy or the law.
- By us. We will defend you against a third-party claim that the Service itself (excluding your content, AI output, third-party platforms and components, and any combination with things we didn’t provide) infringes that party’s intellectual property rights, and pay the resulting damages awarded or settlements we agree. If such a claim happens, we may change the Service to avoid it or end your access. This is your only remedy for such claims.
- The party seeking indemnity must tell the other promptly, let it control the defence and settlement (no settlement may admit fault for the indemnified party without its consent), and cooperate reasonably.
Changes to these terms
We may update these terms. We will post the new version here with a new date and, for material changes, email account holders at least 14 days before they take effect, unless the change is required by law or addresses a security issue. If you keep using Artica after the changes take effect, you accept them. If you don’t agree, stop using Artica and ask us to delete your account.
Governing law and disputes
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods doesn’t apply. Any dispute will be heard only in the state courts of Sheridan County, Wyoming, or the federal courts for the District of Wyoming, and both parties consent to their jurisdiction. Before starting proceedings, please email us so we can try to resolve it informally within 30 days. Either party may seek urgent injunctive relief in any competent court. Nothing here removes rights you have under mandatory law where you live.
Export controls and sanctions
You must comply with US and other applicable export control and sanctions laws. You confirm that you are not located in, or ordinarily resident in, a country or region under comprehensive US sanctions, are not on a US government restricted-party list, and won’t use the Service for any prohibited purpose or give access to anyone who is.
General
- Entire agreement: these terms, the Acceptable Use Policy, the DPA, any purchase terms you accept and any quote you accept for Custom themes are the whole agreement between us about the Service. They replace earlier discussions.
- Order of precedence: an accepted quote or purchase terms, then the DPA (for processing personal data), then these terms, then the Acceptable Use Policy.
- Assignment: you may not transfer these terms without our written consent. We may transfer them to a successor in a merger, acquisition or sale of Artica, with notice to you.
- Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control, including failures of providers or platforms.
- Independent parties: we are independent contractors. There is no partnership, agency or employment between us. There are no third-party beneficiaries.
- Severability and waiver: if a provision is unenforceable, the rest stays in effect. Not enforcing a provision isn’t a waiver.
- Notices: we send notices to the email address on your account; you send them to hello@artica.tools. Email notices are received the next business day.
- Language: these terms are written in English, which controls.
